Forum on Corruption in the Private Sector

Manila Water’s Corporate Governance Office attended a forum entitled Corruption in the Private Sector – The Quiet Forces that Engender Corporate Misbehaviour. The forum was hosted jointly by the Hills Program of the Ramon V. Del Rosario, Sr. — C.V. Starr Center for Corporate Governance at the Asian Institute of Management and the Philippines Business Leaders Forum.

The keynote address was delivered by Mr. Roderick Hills, founder and chair of the Hills Program on Governance, Center for Strategic and International Studies, Washington D.C. Mr. Hills previously served as Counsel to the President of the United States and Chairman of the Securities Exchange Commission.

In his presentation, Mr. Hills discussed the factors that engender corrupt behavior in corporations and the measures that can be adopted to minimize these factors.

Special Corporate Governance Session for the Ayala Group of Companies

The Management Committee of Manila Water Company (composed of its President and Group Directors for all departments) attended a whole-day Special Corporate Governance Session on May 26, 2008 at the Ayala Tower. The seminar was conducted by the Institute of Corporate Directors (ICD) for the Ayala Group of Companies.

Mr. Francisco C. Eizmendi, Jr, the president of ICD, and Dr. Jesus P. Estanislao, the chairman of ICD, conducted the seminar. The presentors discussed the drivers of corporate governance and methods to improve corporate governance practices at the level of the Board and Board committees, as well as the recommendations on how to evaluate a company’s corporate governance.

In addition to the Management Committee of Manila Water, representatives from other Ayala companies such as Ayala Corporation, Ayala Land, Bank of the Philippine Islands, and Integrated Microelectronics Inc. also participated in the seminar.

Corporate Governance Orientation Program

Manila Water Company participated in the Institute of Corporate Directors’ Corporate Governance Orientation Program on March 3, 2008 at the Manila Peninsula Hotel. Manila Water sent the head of its Corporate Governance Office, Ms. Jewel Fernandez-Austria, to the one-day event. The Corporate Governance Orientation Program is a training program that serves as an introductory course for directors and members of senior management on the principles and application of corporate governance.

The Role of Corporate Secretaries in Corporate Governance

Manila Water’s Corporate Secretary, Atty. Solomon M. Hermosura, was a speaker and chairperson in a conference held in Kuala Lumpur on September 20 to 21, 2006. He presented on the role of corporate secretaries in corporate governance in the Philippines. Atty. Jewel Austria, the head of Manila Water’s Corporate Governance Office, also participated in the conference.
